Please read these Terms & Conditions (“Terms”) carefully before using the GYSP website and services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. Definitions
“Company,” “We,” “Us,” “Our” refers to GYSP and its affiliates.
“Service” refers to the GYSP website and any related consulting, software development, or digital services offered by us.
“User,” “You,” “Your” refers to the individual or entity accessing or using the Service.
“Content” means any text, graphics, images, audio, video, software, data compilations, and any other form of information capable of being stored in a computer that appears on or forms part of this website.
2. Use of the Service
2.1 Eligibility
You represent and warrant that you are at least eighteen (18) years of age and that you have the legal right and ability to enter into these Terms.
2.2 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You are granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with this agreement.
2.3 Prohibited Activities
You agree not to:

Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm the Company or Users of the Service.
Attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service.
Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose.
3. Intellectual Property Rights (Website Content)
3.1 Company Content
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of GYSP and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
3.2 Client IP (Software Development)
For custom software development projects, specific terms regarding the ownership of Intellectual Property (IP) developed for the client will be governed exclusively by a separate, signed Master Services Agreement (MSA) or Statement of Work (SOW). Unless otherwise agreed in writing, the Client generally retains ownership of the custom code and related IP developed specifically for them under a contract.
4. Disclaimers and Limitation of Liability
4.1 Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
4.2 Limitation of Liability
In no event shall GYSP, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
5. Third-Party Links
Our Service may contain links to third-party websites or services that are not owned or controlled by GYSP. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such web sites or services.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of Gujarat, India, without regard to its conflict of law provisions.
7. Changes to Terms & Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
